Job Purpose

Job Purpose

To provide expertise and accountability for delivery of a high-quality company secretarial service for the Fund.

Leadership of Company secretarial function with a focus on executive committees, including investment committees, and direct work of team members of the team required delivery.

Key Role Responsibilities

  • Accountable for delivery of a high-quality company secretariat service for NWF regarding the Executive Committees, including investment committees.
  • Provide leadership, including leading by example, identifying stretch opportunities for other team members, coaching and directing them to deliver results in relation to Cosec activities.
  • Accountability for development of, maintenance and review of processes, policies, reports, and structures necessary to ensure effective and legally compliant cosec operations, including operationalisation of public sector requirements for good governance such as managing public money and accounting officer standards.
  • Leadership for creation of a resilient Investment Committee secretariat including the creation and maintenance of a manual containing guidance, key policies and processes relevant to the running of the secretariat.
  • Provide cover and other Assistant Cosec(s) when needed to meet business needs in relation to the running of board committees, companies house processes and share issuances.
  • Providing guidance and advice on corporate governance best practice and making recommendations to executive committees impacted by changes in applicable governance requirements to ensure compliance with NWF’s legal, constitutional and governance requirements.
  • Ensuring that Governance sections of the website are kept up-to date, liaising with the Communications Team as required.
  • Provision of support to CEO, Executive Committee, other members of executive committees (including investment committees) and observers, including leading on the induction process, training and acting as a key point of contact throughout their tenure.
  • Lead the NWF’s approach to managing conflicts of interest Executive Committees.
  • Ensure NWF’s governing documents, including terms of reference, remain up-to-date and adequate for stakeholders (internal and external stakeholders e.g., HMT and UKGI).
  • Work closely with the CEO, Executive Committee and other senior and internal stakeholders in the planning of Executive Committees, including Investment Committee and overseeing all company secretarial administrative tasks necessary for the functioning of committee meetings, which includes activities such as:
  • the provision of agendas, associated document packs, minutes and completion of actions to ensure effective management of meetings, use of meeting time and a clear and accurate record of discussions.
  • coordination of the reporting cycle from commissioning and collating papers, to circulating papers whilst continuing to develop and own a fit for purpose records management system, ensuring that all governance records adhere to standards in relation to information and knowledge management.
  • provision of oversight and best practice advice to other committees of NWF for which the governance function does not directly provide the secretariat service.
  • Update Committee Forward Looks and ensure that the timing of the business of Committees aligns with the timing of business considered by the committees.

Knowledge, Skills & Experience

Knowledge

  • Professional association member ship such as - Fellow or Associate of The Chartered Governance Institute UK & Ireland.
  • Degree level or equivalent
  • In depth knowledge/expertise of Companies Act and other relevant governance requirements for UK companies
  • In depth knowledge of governance requirements of government depts and/or arms’ length bodies of government.

Skills

  • Proficient computer skills and in-depth knowledge of relevant software such as MS Office Suite.
  • Experience of working with board portals.
  • Excellent attention to detail and organisational skills; ability to prioritise, multitask and work well under pressure.
  • Strong written and verbal communication skills, with the ability to communicate complex matters in a simple and creative way to a range of stakeholders.
  • Ability to oversee the workload of a team and having responsibility for the delivery of key outputs.
  • Excellent interpersonal and influencing, with the ability to operate with autonomy and at pace.
  • Comfortable managing a wide range of stakeholders both within and outside NWF.
  • Pro-active and able to prioritise workload.

Experience

  • Extensive experience working in a secretariat of corporate and/or public sector entities.
  • Experience in governance setting and appreciation of processes.
  • Experience of working in a financial institution
  • Experience of working in government and/or an arms’ length body of government
  • Experience in leading teams.

Location: Hybrid working with a minimum of 3 days per week in the Leeds office.

Salary: The salary range for this role is £66,500 - £76,500 per annum.
